PREAMBLE

This document governs the general terms and conditions of use of the website www.citadium.com ("the Site") as well as the general terms and conditions of sale of the Site ("the Conditions") between the company PROFIDA, SASU with a capital of €112,700, whose registered office is located at 102 Rue de Provence 75009 Paris, registered with the RCS of Paris under number 417 597 416, VAT number FR12417597416 (hereinafter "CITADIUM.COM") and any consumer who is a natural person at least 18 years old acting for purposes that are outside their commercial, industrial, artisanal, liberal, or agricultural activity and acting for their personal needs wishing to use the Site ("the User") or make a purchase on the Site ("the Client").


Before using the Site, it is recommended to read these Conditions, the cookie policy, and the personal data protection policy ("Data Protection Policy") accessible at Article 10 below.


Use of the Site or placing an order on it constitutes acceptance without restriction or reservation of the Conditions as well as the Data Protection Policy at the time of the order.


CITADIUM.COM reserves the right to update or revise these Conditions without notice. The Conditions applicable to the User or Client are those in effect at the time of use of the Site or placing an order on the Site.


CITADIUM.COM offers for sale ready-to-wear items and accessories, exclusively from renowned brands. These products come directly from producers and authorized resellers ("the Products").


In accordance with Article R.541-173 of the Environmental Code, the unique identifiers for each eco-organization to which PROFIDA has adhered are as follows:

ARTICLE 1 - ACCOUNT CREATION

A Client can order one or more Products without creating an account.

Account creation is mandatory only to benefit from all private offers, private sales, or other promotional operations reserved for Site customers.


By creating their account, the Client accepts the Data Protection Policy and declares that all provided information is truthful and accurate.

How to create an account?
1. Go to www.citadium.com
2. Click on the "account" tab at the top right of the screen
3. Fill in the "CREATE AN ACCOUNT" section by providing all mandatory fields (fields not marked as "optional")
4. Click "VALIDATE" to confirm.

How to log in to your account?
1. Go to www.citadium.com
2. Click on the "ACCOUNT" tab at the top right of the screen
3. Fill in the "LOG IN" section by providing the email address and password
4. Click "VALIDATE" to confirm.

I forgot my password
1. Click "FORGOTTEN PASSWORD" in the "LOG IN" section
2. Enter your email, validate, and a password reset link will be sent via email within minutes

How to change the password?
1. Log in to your account

2. Once logged in, click on "My account"

3. In the first block, click on "LOGIN INFORMATION"

4. Enter the old password, the new password, which must be confirmed again, then click on "SAVE"


The Customer is informed that their username and password are personal and confidential. As such, he agrees to keep his password secret and not to disclose it to a third party, under any circumstances. Therefore, the Customer is responsible for all actions carried out on the Website using their username and password.

ARTICLE 2 - ORDER


2.1 Placing an Order


The ordering process includes the following steps that the Client is invited to follow by entering and verifying the required information at each stage:

-adding by the Client of the selected Product(s) to their cart, access to the cart being possible at any time for modification or validation;

-validation of the cart after checking its contents;

-access by the Client to their account by entering their username and associated password to confirm, modify, or complete the necessary delivery information; if the Client does not already have an account on the Site, they can create a client account by entering the required information during the process;

-choosing the delivery method;

-choosing the payment method and express acceptance of the Site's Conditions;

-redirection of the Client to the secure online payment site for payment validation.

The Client's final agreement is thus confirmed by the validation of their banking details, namely the credit card number, expiration date, and security code.


2.2 Order Confirmation


The Client will receive a confirmation email of their order validation summarizing the details of the ordered items.

Any order will only be considered after payment acceptance.

Without prejudice to the provisions of the above article, CITADIUM.COM reserves the right to cancel any order from a Client in the following cases:

- in case of payment incident for the order;

- in case of orders for products in abnormal quantities considering the consumer's status;

- in case of a dispute regarding the payment of a previous order made on the Site that has not been resolved at the time of the order;

- in case of suspected fraud, particularly based on systematic claims and/or returns from the Client for previous orders;

- in case of repeated non-compliance with the conditions for exercising the right of withdrawal on previous orders (products worn, washed, altered, and/or damaged);

- in case of a manifest error between the displayed price of the product and/or one of its characteristics;

- in case a defect is found on the Product at the time of order shipment.


The Client is informed that to prevent identity theft, CITADIUM.COM may request supporting documents to verify that the Client is indeed the originator of the order. The personal data thus collected is processed in accordance with the Data Protection Policy available in article 11 of these terms.


2.3 Product Characteristics

In accordance with article L.111-1 of the Consumer Code, the Client can, prior to placing their order, take note on the Site of the essential characteristics of the Products they wish to order by consulting each Product sheet.


2.4 Price

The prices displayed on the Site are expressed in euros (€), according to the currency of the Client's order country and access to the Site.

These prices include the applicable VAT in France or the applicable VAT in the delivery country on the order date but exclude delivery charges at the Client's expense. It is specified that customs fees are included in the displayed VAT-inclusive price.

The rates for different delivery methods can be consulted on the Site, before finalizing the shopping cart.

CITADIUM.COM reserves the right to change the sale prices at any time, without such a change affecting an order that has already been validated.


2.5 Product Availability


Placing an order constitutes acceptance of the prices and description of the Products available for sale.

CITADIUM.COM commits to honoring Product orders within the limits of available stocks. In the event that one or more Product(s) are unavailable after the order has been placed, CITADIUM commits to inform the Client by email as soon as possible about the timelines within which the Product will be available again or, if applicable, its unavailability. In the event of Product unavailability, or if the Client waives the purchase, the order for the relevant Product will be automatically canceled, and the corresponding amount will be refunded using the same payment method used for the order.


2.6 Order Modification


Once the order is finalized by the Client, its content is no longer modifiable.

However, the Client may modify the delivery address if it has not yet been prepared by contacting customer service using the contact details in article 12 or directly via the carrier's delivery interface when this option is available.

In case of possible cancellation, the Client will not be charged.


2.7 Product Ranking

The Product offers on the Site are presented through a thematic search bar that works using keywords.

The User can also access them by visiting the various sections offered (women, men, etc.).

The ranking of Products depends on the User's navigation and can therefore vary from one User to another.

By default, the Products offered on the Website are sorted by new arrivals.

Some products may also be sponsored, as part of a trade marketing promotion for a fee, and will be marked accordingly.

The Products offered on the Website can be sorted according to several criteria by clicking on the "sort by" tab by the Client:

- default

- new arrivals: new products are highlighted first.

- ascending price: Products are sorted from the lowest to the highest price;

- descending price: Products are sorted from the highest to the lowest price

- discounts: the highest discount percentages appear first.

ARTICLE 3 - SHIPPING AND DELIVERY


3.1 Order Shipping


Orders placed before 1 PM: orders validated from Monday to Friday before 1 PM are shipped the same day (excluding public holidays).


Orders placed after 1 PM: orders are prioritized on the next working day. From Friday 1 PM to Sunday evening, validated orders are shipped on Monday evening.


An email is sent to the Client when their order is shipped from the warehouse. This email summarizes the chosen delivery method and the order tracking number. To obtain details and track their order, the Client is invited to visit their personal space in the "TRACK MY ORDERS" section.


3.2 Delivery Location


Products are shipped to the delivery address provided by the Client during the order process in mainland France, Belgium, Germany, Spain, Italy and Netherlands only.

The Client is informed that CITADIUM.COM cannot be held responsible for the inability to deliver the order in case of incorrect information provided by the Client when entering their delivery details.


3.3 Delivery Times


Except in cases of force majeure and excluding certain high-activity periods, such as sales periods, and subject to order validation and payment by the Client:

- orders will be prepared and shipped under the terms and conditions of article 3.1;

- delivery times are indicated in article 3.4, within the limits of available stocks.

These times are calculated:

o For the shipping time: from the date of the order confirmation email;

o For the delivery time: from the date of the shipping email sent by CITADIUM.COM to the Client.

CITADIUM.COM commits to informing the Client by email about the progress of their order processing.

Furthermore, to track their package, the Client will log in to their client account, then go to the "My personal space" section and click on "My order tracking". The Client is informed that there is no delivery tracking within 24 hours of the order, as it is being processed by a sorting platform. After this period, the Client can track their package directly on the carrier's website selected when placing the order.


3.4 Delivery Methods


CITADIUM.COM offers the Client the following delivery methods at the prices mentioned below.


3.4.1 Mainland France and Corsica


Throughout France and Corsica

· Click and collect:

Orders via click and collect are possible in the following CITADIUM stores: CAUMARTIN, BEAUBOURG, CHAMPS ELYSÉES, NATION, MARSEILLE, TOULON, BORDEAUX, AND LYON.

Any order placed before 1 PM is delivered the next day. Any order placed after 1 PM is shipped on the next working day and will be delivered within the following 24 hours. Orders placed after 1 PM on Friday and during the weekend will be available on Tuesday morning.


To collect the order, the pickup code sent by email confirming the delivery of the order to the store as well as identification will be required. Order pickup is possible during the selected store's opening hours at the "click and collect" counter. For more information on the opening days and hours of CITADIUM stores, check the following link: https://www.citadium.com/fr/fr/magasins-citadium .

Colissimo:

Delivery within 2 working days from Monday to Saturday in mainland France and Corsica, from 8 AM to 7 PM on weekdays and from 8 AM to 12 PM on Saturdays. The Client can choose between home delivery, delivery to a post office, or delivery to a local shop.

Chronopost:

This "express" delivery ensures delivery within 24 hours from the order shipment from Monday to Friday in mainland France. Deliveries are made by Chronopost from Monday to Saturday between 7 AM and 1 PM.

Any order placed before 1 PM is delivered the next day before 1 PM (within 24 hours):

- an order placed on Tuesday before 1 PM will be delivered on Wednesday before 1 PM.

- an order placed on Friday before 1 PM will be delivered on Saturday before 1 PM.


Any order placed after 1 PM is shipped on the next working day and will be delivered within the following 24 hours:

- an order placed on Tuesday after 1 PM will be shipped on Wednesday evening and delivered on Thursday before 1 PM.

- an order placed on Friday after 1 PM will be shipped on Monday evening and delivered on Tuesday before 1 PM.

Chrono Relais:

This "express" delivery ensures delivery within 24 hours from the order shipment to the selected pickup point from Monday to Saturday in mainland France. Deliveries are made by Chronopost from Monday to Saturday between 7 AM and 1 PM. Chronopost pickup points have extended opening hours.


Any order placed before 1 PM is delivered the next day before 1 PM (within 24 hours):

- an order placed on Tuesday before 1 PM will be delivered on Wednesday before 1 PM.

- an order placed on Friday before 1 PM will be delivered on Saturday before 1 PM.


Any order placed after 1 PM is shipped on the next working day and will be delivered within the following 24 hours:

- an order placed on Tuesday after 1 PM will be shipped on Wednesday evening and delivered on Thursday before 1 PM.

- an order placed on Friday after 1 PM will be shipped on Monday evening and delivered on Tuesday before 1 PM.


Important: Any package can be kept for 7 days at a pickup point and will be automatically returned to CITADIUM on the 8th day.


3.4.2 European Union

Chrono Classic International:

Standard home delivery for Belgium,Germany, Spain, Italy and Netherlands only with an average delivery time provided by the carrier as an indication of two working days.

With Chronopost's Predict service, a wide range of delivery options is offered:

- Rescheduling the delivery date

- Making the package available at a nearby point

- Delivery to a chosen neighbor

- Delivery to a "safe place"

Chrono Relais Europe:


Standard delivery to PickUp® points is available for Belgium, Germany, Spain, Italy and Netherlands only. with an average delivery time provided by the carrier as an indication of two working days.

Chronos Express International:

Express home delivery is available for Belgium. The delivery time is 1 working day.


3.4.3 General Provisions on Product Delivery


It is the Client's responsibility to check the conformity of the delivery with their order and to report any errors without delay. The Client is also required to check the condition of the delivered Products.
Any package showing apparent anomalies (damage, missing product compared to the order form, damaged or opened package, defective product...) at the time of delivery or pickup by the Client must be subject to a complaint addressed to customer service within 3 days following the delivery or pickup date via the form: https://support.citadium.com/hc/fr/requests/new


The Client must return the concerned Product by strictly following the return procedure described in article 9.

If the anomaly is proven and confirmed by CITADIUM.COM, the Client will receive, subject to the receipt of the package by CITADIUM.COM, an email indicating whether the concerned Product can be exchanged or refunded. If applicable, the refund of the Product, delivery fees, and return costs will be processed within 14 days from the date on which the Company confirmed to the Client that they are entitled to said refund in accordance with the guarantees described in article 10.

ARTICLE 4 - PAYMENT


By clicking on "Pay", the Client confirms either that the credit card belongs to them or that they are the legitimate holder of the gift card or voucher.


4.1 Available Payment Methods


The Client can pay for their order using the following methods:


- by the following credit cards: Visa, Visa Electron, Maestro, Mastercard, PayPal, and American Express.

Transactions made on the Site are handled by two secure online payment platforms, INGENICO EPAYMENTS, registered with the RCS of Paris under number B435 236 898, whose head office is located at 28/32 boulevard de Grenelle, 75015 Paris - France, Tel: + 33 (0) 1 70 70 09 03 and email: support.ecom@ingenico.com, and ADYEN, a company registered in the Netherlands under number 34259528, with its registered office at Simon Carmiggeltstraat 6-50, 1011 DJ, Amsterdam, Netherlands with email: SUPPORT@ADYEN.COM

THE CLIENT'S CREDIT CARD PAYMENT DATA (NAMELY: CARD NUMBER, EXPIRATION DATE, AND CVV ON THE BACK OF THE CARD) WILL BE ENCRYPTED BY THE SERVICE PROVIDER, WHO WILL TRANSMIT THIS PAYMENT DATA TO THE BANK IN COMPLETE CONFIDENTIALITY, MAKING IT INACCESSIBLE TO THIRD PARTIES. THE CLIENT HAS THE OPTION, IF THEY AGREE, TO SAVE THEIR BANKING DATA IN THEIR CITADIUM.COM ACCOUNT, WHICH REMAINS ENCRYPTED AND INACCESSIBLE.

EACH TIME ONE OF THE PRE-REGISTERED CARDS IS USED, THE CLIENT MUST RE-ENTER THEIR ACCOUNT PASSWORD AND COMPLETE THE CVV. THE PRE-REGISTERED CARD WILL ONLY BE OFFERED IF THE SAME DELIVERY ADDRESS IS USED BY THE CLIENT FOR ANY SUBSEQUENT ORDER. THE CLIENT HAS THE OPTION TO DELETE PRE-REGISTERED BANK CARDS IN THE "MY BANK CARDS" SECTION OF THEIR PERSONAL SPACE, OR TO ADD OTHER BANK CARDS ON THE PAYMENT PAGE DURING THEIR PURCHASE.


EACH TIME ONE OF THE PRE-REGISTERED CARDS IS USED, THE CLIENT MUST RE-ENTER THEIR ACCOUNT PASSWORD AND COMPLETE THE CVV. THE PRE-REGISTERED CARD WILL ONLY BE OFFERED IF THE SAME DELIVERY ADDRESS IS USED BY THE CLIENT FOR ANY SUBSEQUENT ORDER. THE CLIENT HAS THE OPTION TO DELETE PRE-REGISTERED BANK CARDS IN THE "MY BANK CARDS" SECTION OF THEIR PERSONAL SPACE, OR TO ADD OTHER BANK CARDS ON THE PAYMENT PAGE DURING THEIR PURCHASE.


- BY APPLE PAY FOR ELIGIBLE DEVICES - BY KLARNA PAY LATER (payment within 30 days) for transactions with amounts between €35 and €2000 for the following delivery countries: Germany, Belgium, and the Netherlands - BY PAYPAL ACCOUNT: WHICH WILL AUTOMATICALLY BE SUBJECT TO PAYPAL'S TERMS OF SERVICE AND PRIVACY POLICY.

- BY GIFT VOUCHER ISSUED BY CITADIUM.COM VALID FOR 6 MONTHS ON THE SITE OR BY GIFT CARD VALID FOR 1 YEAR ON THE SITE, WHOSE CONDITIONS ARE SET OUT IN ARTICLE 5, PAYMENT CAN BE MADE IN WHOLE OR IN PART BY ONE OF THESE PAYMENT METHODS.

- BY CITADIUM.COM E-GIFT CARD SEE THE GENERAL TERMS AND CONDITIONS FOR GIFT CARDS.


4.2 Prevention and Management of Unpaid Bills


To prevent unpaid bills, CITADIUM.COM has implemented a system that may require the Client to provide additional information during payment or to suspend an order.

4.3 Electronic Invoice

An electronic invoice will be made available to the Client on the Site in the "My personal space" section, which the Client accepts.

ARTICLE 5 - TRANSFER OF RISKS AND OWNERSHIP

CITADIUM.COM retains ownership of the Products until full payment of the order, i.e., upon receipt by CITADIUM.COM of the full price and associated fees. These provisions do not preclude the transfer to the Client, upon receipt, of the risks of loss and deterioration of the purchased Products as well as any damage they may cause.

ARTICLE 6 - INTELLECTUAL PROPERTY

All texts, comments, photos, trademarks, illustrations, and images reproduced on the Site are protected under both copyright law and intellectual property law. These elements are and remain the exclusive property of CITADIUM.COM or the holder of the intellectual property rights concerned.
Any total or partial reproduction of the Site or any of its elements, on any medium and for any reason, is strictly prohibited.

ARTICLE 7 - RIGHT OF WITHDRAWAL


7.1 Withdrawal Period

In accordance with article L 221-18 of the Consumer Code, the Client has a period of fourteen (14) days from the day the Client or a third party designated by them (other than the carrier) physically takes possession of the Product(s) ordered to return the ordered Products without having to justify their decision.

In the case of multiple deliveries for a single order, the withdrawal period is fourteen (14) days from the day the Client or a third party designated by them (other than the carrier) physically takes possession of the last Product(s) ordered.


7.2 Exercising the Right of Withdrawal

Notification of the decision to withdraw:

To exercise their right of withdrawal, the Client must inform Customer Service - whose contact details are provided in article 12 - of their decision to withdraw using the form attached in the appendix or an unambiguous declaration, sent:

- either by postal mail to the address: Customer Service CITADIUM.COM - 110 bis Av. du Général Leclerc 93500 Pantin

- or by email to the address contact@citadium.com

- or by completing and submitting the online form via the following link: https://support.citadium.com/hc/fr/requests/new . In this case, CITADIUM.COM will send an acknowledgment of receipt of the withdrawal on a durable medium.

Effects of withdrawal:

The Client must return the Product(s) subject to withdrawal to CITADIUM.COM at the address

Printemps Logistique - Entrepôt P-LOG 1 - Centre de distribution Printemps - ZA du Champ de l'Alouette - 77610 LA HOUSSAYE-EN-BRIE, without undue delay, and no later than 14 days after informing CITADIUM.COM of their decision to withdraw, using the return slip and shipping label downloadable from their personal space.

Exceptions:

There is no right of withdrawal for:

- Products made according to the consumer's specifications or clearly personalized;

- Products once they have been worn, washed, altered, or permanently damaged.

ARTICLE 8 - RETURNS, EXCHANGES, AND REFUNDS


8.1 Return Conditions

The Client must return the Product in the same condition as received, i.e., in its original packaging or, failing that, in packaging providing equivalent protection, accompanied by its original label stating the brand, price, barcode, size, and name.

In accordance with article L 221-23 of the Consumer Code, the Client will be liable for any depreciation resulting from handling other than what is necessary to establish the nature, characteristics, and proper functioning of the Product. Consequently, CITADIUM.COM reserves the right to refuse the return if the returned Product is unsuitable for resale (e.g., returned incomplete, damaged, worn, soiled, or washed).

· Specifics related to shoes: the insoles and outsoles of the shoes must not show any signs suggesting they have been worn. It is advised that the Client tries on the shoes on a carpet or any other surface that does not damage the soles. Shoes must be returned in their original box (bearing the size, brand, and barcode) in perfect condition (no deformation, no tearing, no writing, and no tape), with the understanding that this original box cannot serve as the shipping box.

· Specifics related to lingerie & swimwear: lingerie and swimwear items must be tried on by the Client over their underwear. For hygiene reasons, any returns not complying with this procedure cannot be refunded.


8.2 Product Return or Exchange Procedure:

The Client can make a return:

by Colissimo with the prepaid and pre-addressed label downloadable from their personal space: by choosing this return method, the Client agrees that the refund will be deducted by the amount corresponding to the return shipping fees. The Client must first log in to their personal space, enter the return information, and print their return slip and prepaid shipping label.

For a return from France, the shipping costs are free if the return is made within 10 days from the order's shipping date. After this period, and within the 14 days from the order's receipt date, a maximum amount of €4 will be deducted from the refund, with the price varying according to the Client's status within the Citadium addict program:

- €4 if the Client has less than 300 points at the time of creating their return slip;

- €2 if the Client has between 300 and 500 points at the time of creating their return slip (privilege status);

- free if the Client has more than 500 points at the time of creating their return slip (premium status).

· by their own means (without a prepaid label): the Client will then choose their own carrier, and the return will be financially covered by them. These costs will not be reimbursed to the Client. No return without a prepaid label will be possible.

The shipment of a return is solely the Client's responsibility and at their expense (except in case of a problem related to the order, i.e., if the product is non-compliant); in this case, a prepaid Colissimo label will be provided to the Client upon simple request).


8.3 Refund

When the return is made by the Client under the right of withdrawal, the refund is triggered as soon as the Product is recovered by CITADIUM.COM or the Client provides proof of the Product's shipment, the date taken being the earlier of these events. The Client is informed that this period may be extended if the return requires further inspection. Proof of the Product's shipment will be sent by the Client by postal mail to the following address: Customer Service CITADIUM.COM - 110 bis Av. du Général Leclerc 93500 Pantin or by email to contact@citadium.com

CITADIUM.COM will refund the Client all payments made for the order of the returned Product except for return shipping costs.

Regarding the initial delivery fees:

- if all Products in the order are returned under the right of withdrawal, CITADIUM.COM will refund the standard delivery fees associated with sending the order (except for any additional fees if the Client chose a delivery method other than the standard delivery offered by CITADIUM.COM, detailed in article 3).

- in case of returning only part of the order, CITADIUM.COM will not refund the initial shipping fees.

The refund will be made using the payment method used when placing the order unless the Client expressly agrees to use a different method. In any case, this refund will not incur any additional costs for the Client. It is specified that if the Client is on deferred payment, the re-credit will also be deferred according to the Client's bank practices.

If the Client paid for their order with two payment methods, including a gift voucher, the refund will be prorated to each payment method, meaning the Client will inevitably receive part of the refund as a gift voucher.

If a returned package is received with contents that do not match the return request or if the items do not meet the return conditions mentioned above, CITADIUM.COM reserves the right to take any corresponding recovery actions against the Client.

ARTICLE 9 - WARRANTIES

All Products benefit from the legal warranty of conformity (articles L217-3 and following of the Consumer Code) and the legal warranty against hidden defects (articles 1641 and following of the Civil Code) allowing the Client to return defective or non-conforming Products free of charge. The Client is invited to contact CITADIUM.COM at the contact details mentioned in article 12.


9.1 Legal Warranty of Conformity

Article L217-3 of the Consumer Code: "

The seller delivers a product that conforms to the contract as well as the criteria set out in Article L. 217-5. The seller is responsible for any lack of conformity existing at the time of delivery of the goods within the meaning of Article L. 216-1, which appears within two years from the delivery. In the case of a sales contract for a product containing digital elements:

1° When the contract provides for the continuous supply of digital content or a digital service for a period of less than or equal to two years, or when the contract does not determine the duration of supply, the seller is responsible for any lack of conformity of this digital content or service that appears within two years from the delivery of the goods;

2° When the contract provides for the continuous supply of digital content or a digital service for a period exceeding two years, the seller is responsible for any lack of conformity of this digital content or service that appears during the period during which it is supplied under the contract.

For such goods, the applicable period does not deprive the consumer of their right to updates in accordance with the provisions of Article L. 217-19.

The seller is also responsible, within the same time limits, for any lack of conformity resulting from the packaging, assembly instructions, or installation when it has been charged to the seller by the contract or has been carried out under their responsibility, or when the incorrect installation, carried out by the consumer as provided for in the contract, is due to shortcomings or errors in the installation instructions provided by the seller.

This warranty period applies without prejudice to Articles 2224 and following of the Civil Code. The starting point of the consumer's action is the day the consumer becomes aware of the lack of conformity.

Article L217-4 of the Consumer Code: "The product is in conformity with the contract if it meets, in particular, where applicable, the following criteria:

1° It corresponds to the description, type, quantity, and quality, particularly in terms of functionality, compatibility, interoperability, or any other characteristics provided for in the contract;

2° It is suitable for any special use sought by the consumer, brought to the knowledge of the seller at the latest at the time of the conclusion of the contract and that the latter has accepted;

3° It is delivered with all accessories and installation instructions to be provided in accordance with the contract;

4° It is updated in accordance with the contract."

Article L217-5 of the Consumer Code: "I.-In addition to the criteria of conformity with the contract, the product is in conformity if it meets the following criteria:

1° It is suitable for the use normally expected of a product of the same type, taking into account, if applicable, any provisions of European Union and national law as well as all technical standards or, in the absence of such technical standards, specific codes of conduct applicable to the sector concerned;

2° Where applicable, it has the qualities that the seller presented to the consumer in the form of a sample or model before the conclusion of the contract;

3° Where applicable, the digital elements it contains are provided according to the most recent version available at the time of the conclusion of the contract, unless the parties agree otherwise;

4° Where applicable, it is delivered with all accessories, including packaging, and installation instructions that the consumer can legitimately expect;

5° Where applicable, it is provided with the updates that the consumer can legitimately expect, in accordance with the provisions of Article L. 217-19;

6° It corresponds to the quantity, quality, and other characteristics, including in terms of durability, functionality, compatibility, and security, that the consumer can legitimately expect for goods of the same type, given the nature of the goods as well as public statements made by the seller, by any person upstream in the chain of transactions, or by a person acting on their behalf, including in advertising or labeling.

II.-However, the seller is not bound by all public statements mentioned in the preceding paragraph if they demonstrate:

1° That they were not aware of them and were not legitimately in a position to know them;

2° That at the time of the conclusion of the contract, the public statements had been rectified under comparable conditions to the initial statements; or

3° That the public statements could not have influenced the purchase decision.

III.-The consumer cannot contest the conformity by invoking a defect concerning one or more particular characteristics of the product, of which they were specifically informed that they deviated from the conformity criteria set out in this article, and to which they expressly and separately consented at the time of the conclusion of the contract."

Article L217-7 of the Consumer Code: "Lack of conformity that appears within twenty-four months from the delivery of the goods, including goods with digital elements, is presumed to exist at the time of delivery, unless proven otherwise, unless this presumption is incompatible with the nature of the goods or the defect invoked.

For second-hand goods, this period is twelve months.

When the sales contract for goods with digital elements provides for the continuous supply of digital content or a digital service, lack of conformity that appears:

1° Within a period of two years from the delivery of the goods, when the contract provides for this supply for a period less than or equal to two years or when the contract does not determine the duration of supply;

2° During the period during which the digital content or digital service is provided under the contract, when it provides for this supply for a period exceeding two years."

Article L217-28 of the Consumer Code: "When the consumer requests from the guarantor, during the course of the legal warranty or the commercial warranty granted to them at the time of the acquisition or repair of a product, a repair covered by this warranty, any immobilization period suspends the warranty period that remained to run until the delivery of the repaired product.

This period starts from the consumer's request for intervention or the provision for repair or replacement of the product in question, if this starting point proves to be more favorable to the consumer.

The warranty period is also suspended when the consumer and the guarantor enter into negotiations for an amicable settlement."


The consumer has a period of two years from the delivery of the goods to implement the legal warranty of conformity in the event of the appearance of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date of its appearance.

When the sales contract for the goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the legal warranty applies to this digital content or digital service throughout the supply period provided. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date of its appearance.

The legal warranty of conformity requires the professional, where applicable, to provide all necessary updates to maintain the conformity of the goods.

The legal warranty of conformity entitles the consumer to the repair or replacement of the goods within thirty days following their request, free of charge and without major inconvenience to them.

If the goods are repaired under the legal warranty of conformity, the consumer benefits from a six-month extension of the initial warranty.

If the consumer requests the repair of the goods, but the seller imposes a replacement, the legal warranty of conformity is renewed for a period of two years from the date of replacement of the goods.

The consumer may obtain a price reduction by keeping the goods or terminate the contract by getting a full refund in exchange for the return of the goods if:

1° The professional refuses to repair or replace the goods;

2° The repair or replacement of the goods occurs after a period of thirty days;

3° The repair or replacement of the goods causes a major inconvenience to the consumer, particularly when the consumer permanently bears the cost of returning or removing the non-conforming goods, or if they bear the installation costs of the repaired or replaced goods;

4° The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring the goods into conformity.

The consumer is also entitled to a price reduction or termination of the contract when the lack of conformity is so severe that it justifies an immediate price reduction or contract termination. In such cases, the consumer is not required to request the repair or replacement of the goods beforehand.

The consumer does not have the right to terminate the sale if the lack of conformity is minor.

Any period during which the goods are immobilized for repair or replacement suspends the warranty period that remained to run until the delivery of the repaired goods.

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the Consumer Code.

The seller who obstructs in bad faith the implementation of the legal warranty of conformity faces a civil fine of up to 300,000 euros, which can be increased to 10% of the average annual turnover (Article L. 241-5 of the Consumer Code).

The consumer also benefits from the legal warranty against hidden defects under Articles 1641 to 1649 of the Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are kept or a full refund in exchange for the return of the goods.

This document governs the general terms and conditions of use of the website www.citadium.com (the “Site”) as well as the general terms and conditions of sale of the Site (the “Terms”) between the company PROFIDA, SASU with a capital of €112,700 whose registered office is located at 102 Rue de Provence 75009 Paris, registered with the RCS of Paris under number 417 597 416, VAT number FR12417597416 (hereinafter referred to as “CITADIUM.COM”) and any consumer who is a natural person at least 18 years old acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, liberal, or agricultural activity and acting for their personal needs wishing to use the Site (the “User”) or make a purchase on the Site (the “Customer”).


Before using the Site, it is recommended to read these Terms, the cookie policy, and the personal data protection policy (the “Data Protection Policy”) accessible in Article 11 below.


The use of the Site or the placing of an order on it constitutes acceptance without restriction or reservation of the Terms as well as the Data Protection Policy at the time of the order.

CITADIUM.COM offers for sale ready-to-wear articles and accessories, only from renowned brands. These products come directly from producers and authorized resellers (the “Products”).

ARTICLE 1 - ACCOUNT CREATION

A Customer can order one or more Products without creating an account.

Creating an account is mandatory only to benefit from all private offers, private sales, or any other commercial operations reserved for the Site's customers.


By creating their account, the Customer accepts the Data Protection Policy and declares that all the information provided is truthful and accurate.

The Customer is informed that their username and password are personal and confidential, and as such, they undertake to keep their password secret and not to disclose it to any third party, for any reason whatsoever. As such, the Customer is responsible for all actions taken on the Website using their username and password.

ARTICLE 2 - ORDER


2.1 Placing an Order


The ordering process includes the following steps that the Customer is invited to follow by providing and verifying the required information at each stage:

- addition by the Customer of the selected Product(s) to their basket, with access to the basket being possible at any time for modification or validation;

- validation of the basket after checking its contents;

- access by the Customer to their account by entering their username and associated password to confirm, modify, or complete the contact details necessary for delivery; if the Customer does not already have an account on the Site , they can create a customer account by filling in the required information during the process;

- choice of delivery method;

- choice of payment method and express acceptance of the Site's Terms;

- redirection of the Customer to the secure online payment site for payment validation.

The Customer's final agreement is therefore materialized by the validation of their bank details, namely the bank card number, expiration date, and cryptogram.


2.2 Order Validation


The Customer will receive an email confirming the validation of their order, summarizing the details of the ordered items.

Any order will only be considered after payment has been accepted.

Without prejudice to the provisions of the above article, CITADIUM.COM reserves the right to cancel any Customer's order in the following cases:

- in case of payment incident of the order;

- in case of ordering products in abnormal quantities considering the quality of the consumer;

- in case of a dispute relating to the payment of a previous order placed on the Site and not resolved at the time of the order;

- in case of suspected fraud, based in particular on systematic complaints and/or returns by the Customer during previous orders;

- in case of repeated non-compliance with the conditions of exercise of the right of withdrawal during previous orders (products worn, washed, altered, and/or damaged);

- in case of manifest error between the displayed price on the product and/or one of the product's characteristics;

- in case of the presence of a defect on the Product at the time of shipment of the order.


The Customer is informed that to avoid identity theft, CITADIUM.COM may request supporting documents to verify that the Customer is indeed the originator of the order. The personal data thus collected is processed in accordance with the Data Protection Policy available in Article 11 of these Terms.


2.3 Product Characteristics

In accordance with Article L.111-1 of the Consumer Code, the Customer can, prior to their order, take note on the Site of the essential characteristics of the Products they wish to order by consulting each Product sheet.


2.4 Price

The prices displayed on the Site are expressed in euros (€), according to the Customer's order country currency and Site access.

These prices include the VAT applicable in France or that applicable in the delivery country on the order day but do not include delivery costs borne by the Customer. It is specified that customs fees are included in the displayed inclusive price.

The rates of the different delivery methods can be consulted on the Site, before finalizing the shopping cart.

CITADIUM.COM reserves the right to modify the selling prices at any time, without such a modification affecting an order that has already been validated.


2.5 Product Availability


The order constitutes acceptance of the prices and description of the Products offered for sale.

CITADIUM.COM undertakes to honor Product orders within the limits of available stocks. In the event of unavailability of one or more Product(s) after placing the order, CITADIUM.COM undertakes to inform the Customer by email as soon as possible about the timeframes within which the Product will be available again or, if applicable, of its unavailability. In the event of unavailability of Products, or if the Customer renounces the purchase, the order of the Product concerned will be automatically canceled, and the corresponding amount will be refunded using the same payment method used for the order.


2.6 Order Modification


Once the order is finalized by the Customer, its content is no longer modifiable.

However, the Customer can modify the delivery address if it has not yet been prepared by contacting customer service at the contact details listed in Article 12 or directly via the delivery interface of the carrier if they offer this possibility.

In case of possible cancellation, the Customer will not be charged.


2.7 CITADIUM ADDICT Program

CITADIUM ADDICT is the loyalty program that automatically rewards each of the Customers' purchases with points. As such, all orders placed in the last 6 months are taken into account. 1 euro of purchase = 1 point (example: an order of 75 euros earns 75 points). 2.8 Product Ranking

Product offers on the Website are presented through a thematic search bar that works with keywords.

The User can also access them by visiting the different proposed sections (women, men, etc.).

The ranking of Products depends on the User's navigation and may vary from one User to another.

By default, the Products offered on the website are ranked by new arrivals.

Some products may also be sponsored, in a trade marketing logic for highlighting, for a fee, and indicated as such by an appropriate mention.

The Products offered on the website can be sorted according to several criteria by clicking on the "sort by" tab by the Customer:

- default

- new arrivals: new products are then highlighted first.

- ascending price: Products are sorted from the lowest price to the highest price;

- descending price: Products are sorted from the highest price to the lowest price

- discounts: the highest discount percentages appear first.

ARTICLE 3 - SHIPPING AND DELIVERY


3.1 Order Shipment


Orders placed before 1 p.m.: orders validated from Monday to Friday before 1 p.m. are shipped the same day (excluding public holidays).


Orders placed after 1 p.m.: orders are processed first the next business day. From Friday 1 p.m. until Sunday evening, validated orders are shipped on Monday evening.


An email is sent to the Customer when their order is shipped from the warehouse. This email summarizes the chosen delivery method as well as the tracking number of the order. To get the details and track their order, the Customer is invited to log in to their personal space in the "TRACK MY ORDERS" section.


3.2 Delivery Location


Products are shipped to the delivery address provided by the Customer during the ordering process in mainland France and Belgium only.

The Customer is informed that CITADIUM.COM cannot be held responsible for the impossibility of delivering the order in case of incorrect information when entering their delivery details.


3.3 Delivery Times


Except in cases of force majeure and excluding certain periods of high activity, such as sales periods, and subject to order validation and Customer payment:

- orders will be prepared and shipped under the terms and conditions of Article 3.1;

- delivery times are indicated in Article 3.4, within the limits of available stocks.

These times run:

o For the shipping time: from the date of the order confirmation email;

CITADIUM.COM undertakes to inform the Customer by email of the progress of their order processing.

Delivery in 2 business days from Monday to Saturday in mainland France and Corsica, from 8 a.m. to 7 p.m. on weekdays and from 8 a.m. to 12 p.m. on Saturdays. The Customer can choose between delivery to their home, delivery to a post office, or delivery to a retailer.

Chronopost:

This "express" delivery allows for delivery within 24 hours from the order shipment from Monday to Friday in mainland France. Deliveries are made by Chronopost from Monday to Saturday between 7:00 a.m. and 1:00 p.m.

Any order placed before 1 p.m. is delivered the next day before 1 p.m. (less than 24 hours):

- an order placed on Tuesday before 1 p.m. will be delivered on Wednesday before 1 p.m.

- an order placed on Friday before 1 p.m. will be delivered on Saturday before 1 p.m.

3.4.3 General Provisions on Product Delivery


It is the Customer's responsibility to check the conformity of the delivery with their order and to report any errors without delay. The Customer is also required to check the condition of the delivered Products.
Any package showing apparent anomalies (damage, missing product compared to the order form, damaged or opened package, defective product, etc.) at the time of delivery or collection by the Customer must be subject to a complaint addressed to customer service within 3 days following the delivery or collection date via the form: https://support.citadium.com/hc/fr/requests/new


The Customer must return the concerned Product by strictly following the return procedure described in Article 9.

If the anomaly is confirmed by CITADIUM.COM, the Customer will receive an email indicating whether the concerned Product can be exchanged or refunded, subject to the receipt of the package by CITADIUM.COM. If applicable, the refund of the Product, shipping costs, and return costs will be made within 14 days from the date CITADIUM.COM confirms to the Customer that they are entitled to the refund in accordance with the guarantees described in Article 10.

ARTICLE 4 - PAYMENT


By clicking on “Pay,” the Customer confirms that the credit card belongs to them, or that they are the legitimate holder of the gift card or voucher.

4.2 Prevention and Management of Unpaid Amounts

An electronic invoice will be made available to the Customer on the Site in the "My Personal Space" section, which the Customer accepts.

ARTICLE 5 - TRANSFER OF RISKS AND OWNERSHIP

CITADIUM.COM retains ownership of the Products until full payment of the order, that is, until CITADIUM.COM has received the entire price and associated fees. These provisions do not prevent the transfer to the Customer, upon receipt, of the risks of loss and damage to the purchased Products as well as any damage they may cause.

ARTICLE 6 - INTELLECTUAL PROPERTY

All texts, comments, photos, trademarks, illustrations, and images reproduced on the Site are protected under copyright and intellectual property law. These elements are and remain the exclusive property of CITADIUM.COM or the holder of the intellectual property rights concerned.
Any total or partial reproduction of the Site or any of its elements, on any medium and for any reason whatsoever, is strictly prohibited.

ARTICLE 7 - RIGHT OF WITHDRAWAL


7.1 Withdrawal Period

In accordance with Article L 221-18 of the Consumer Code, the Customer has a period of fourteen (14) days from the day the Customer or a third party designated by them (other than the carrier) takes physical possession of the Product(s) ordered to return the ordered Products without having to justify their decision.

In the case of multiple deliveries for the same order, the withdrawal period is fourteen (14) days from the day the Customer or a third party designated by them (other than the carrier) takes physical possession of the last Product(s) ordered.


7.2 Exercising the Right of Withdrawal

Effects of the withdrawal:

The Customer must return the Product(s) subject to the withdrawal to CITADIUM.COM at the address

Exceptions:

There is no right of withdrawal for:

- Products made according to the consumer's specifications or clearly personalized;

- Products once they have been worn, washed, altered, or permanently damaged.

ARTICLE 8 RETURN, EXCHANGE, AND REFUND


8.1 Return Conditions

The Customer returns the Product in the same condition as received, meaning in its original packaging or, failing that, in packaging providing equivalent protection, accompanied by its original label indicating the brand, price, barcode, size, and name.

In accordance with Article L 221-23 of the Consumer Code, the Customer will be responsible for any depreciation resulting from manipulations other than those necessary to establish the nature, characteristics, and, if applicable, proper functioning of the Product. Consequently, CITADIUM.COM reserves the right to refuse the return if the returned Product is unfit for resale (notably a Product returned incomplete, damaged, worn, stained, or washed, for example).

· Specificities related to shoes: the insoles and outsoles of the shoes must not show any traces that could suggest they have been worn. It is recommended that the Customer tries on the shoes on a carpet or any other surface that does not damage the soles. The shoes must be returned in their original box (bearing the size, brand, and barcode) in impeccable condition (no deformation, no tearing, no writing, and no tape), with the understanding that this original box cannot be used as a shipping carton.

· Specificities related to lingerie & swimwear items: lingerie and swimwear items must be tried on by the Customer with their underwear. Indeed, for hygiene reasons, all returns not respecting this procedure cannot be refunded.


8.2 Product Return or Exchange Procedure:

The Customer can return the Product:

by Colissimo with the prepaid and pre-addressed label downloadable in their personal space: by opting for this return method, the Customer agrees that the refund will be deducted from the amount corresponding to the return shipping costs. The Customer must first log in to their personal space, enter the return information, and print their return slip and prepaid shipping label.

For a return from France, shipping costs are offered if the return is made within 10 days from the shipping date of the order. After this period, and within a limit of 14 days from the receipt date of the order, a maximum amount of 4€ will be deducted from the refund, the price varying according to the Customer's status in the Citadium Addict program:

- 4 euros if the Customer has less than 300 points at the time of creating their return slip;

- 2 euros if the Customer has 300 to 500 points at the time of creating their return slip (privilege status);

- free if the Customer has more than 500 points at the time of creating their return slip (premium status).

· by their own means (without a prepaid label): the Customer will then use the carrier of their choice, and the return will be financially covered by themselves. These costs will not be refunded to the Customer. No return without a prepaid label will be possible.

The shipment of a return is the sole responsibility of the Customer and at their expense (except in case of a problem related to the order (i.e., if the product is non-compliant); in this case, a prepaid Colissimo label will be sent to the Customer upon request).


8.3 Refund

When the return is made by the Customer as part of the exercise of the right of withdrawal, the refund is triggered upon the receipt of the Product by CITADIUM.COM or the provision by the Customer of proof of shipment of the Product, the date taken being that of the first of these facts. The Customer is informed that this period may be extended if the return requires additional inspection. The proof of shipment of the Product will be sent by the Customer by postal mail to the following address: Service clients CITADIUM.COM - 110 bis Av. du Général Leclerc 93500 Pantin or by email to the following address contact@citadium.com.

CITADIUM.COM refunds the Customer all payments made by them for the order of the returned Product except for the return shipping costs.

Regarding the initial shipping costs:

- if all the Products in the order are returned under the right of withdrawal, CITADIUM.COM will refund the standard shipping costs related to the order shipment (except for additional costs if the Customer chose a delivery method other than the standard delivery method offered by CITADIUM.COM, the details of which are listed in Article 3).

- in case of returning only part of the order, CITADIUM.COM will not refund the initial flat-rate shipping costs.

The refund will be made using the payment method used during the order by the Customer unless the Customer expressly agrees to use a different method. In any case, this refund will not incur any additional costs for the Customer. It is specified that if the Customer is on deferred debit, the re-credit will also be deferred according to the practices of the Customer's bank.

If the Customer paid for their order with two payment methods, including a voucher, the refund will be made proportionally to each payment method, meaning that the Customer will necessarily receive part of the refund by voucher.

In case of receiving a return package whose content does not comply with the return request or whose items do not meet the return conditions mentioned above, CITADIUM.COM reserves the right to take all corresponding recovery actions against the Customer.

ARTICLE 9 - WARRANTIES

All Products benefit from the legal guarantee of conformity (Articles L217-3 and following of the Consumer Code) and the legal guarantee against hidden defects (Articles 1641 and following of the Civil Code) allowing the Customer to return defective or non-compliant Products delivered at no cost. The Customer is invited to contact CITADIUM.COM at the contact details mentioned in Article 12 for this purpose.


9.1 Legal Guarantee of Conformity

Article L217-3 of the Consumer Code: « The seller delivers goods that conform to the contract and the criteria set out in Article L. 217-5. They are liable for conformity defects existing at the time of delivery of the goods within the meaning of Article L. 216-1, which appear within two years from delivery. In the case of a contract for the sale of goods containing digital elements:

1° When the contract provides for the continuous supply of digital content or a digital service for a period of fewer than two years, or when the contract does not specify the duration of supply, the seller is liable for conformity defects of this digital content or digital service that appear within two years from delivery;

2° When the contract provides for the continuous supply of digital content or a digital service for a period of more than two years, the seller is liable for conformity defects of this digital content or digital service that appear during the period in which it is supplied under the contract.

For such goods, the applicable period does not deprive the consumer of their right to updates under the provisions of Article L. 217-19.

The seller is also liable, during the same periods, for conformity defects resulting from packaging, assembly instructions, or installation when the contract places such installation in their charge or it is carried out under their responsibility, or when incorrect installation, carried out by the consumer as provided for in the contract, is due to shortcomings or errors in the installation instructions provided by the seller.

This warranty period applies without prejudice to Articles 2224 and following of the Civil Code. The starting point for the consumer's action limitation period is the day they become aware of the conformity defect. »

Article L 217-4 of the Consumer Code: « The goods conform to the contract if they meet, where applicable, the following criteria:

1° They correspond to the description, type, quantity, and quality, including functionality, compatibility, interoperability, or any other characteristics provided for in the contract;

2° They are suitable for any special use sought by the consumer, brought to the seller's attention no later than at the time of the contract's conclusion, and that the latter has accepted;

3° They are delivered with all accessories and installation instructions to be provided under the contract;

4° They are updated in accordance with the contract.

»

Article L217-5 of the Consumer Code: « I.-In addition to the conformity criteria to the contract, the goods conform if they meet the following criteria:

1° They are suitable for the usual use of goods of the same type, considering, if applicable, any provisions of European Union law and national law as well as any technical standards or, in the absence of such technical standards, the specific codes of conduct applicable to the sector concerned;

2° Where applicable, they possess the qualities that the seller has presented to the consumer in the form of a sample or model before the conclusion of the contract;

3° Where applicable, the digital elements they contain are provided according to the latest version available at the time of the contract's conclusion unless the parties agree otherwise;

4° Where applicable, they are delivered with all accessories, including packaging, and installation instructions that the consumer can reasonably expect;

5° Where applicable, they are provided with the updates that the consumer can reasonably expect, under the provisions of Article L. 217-19;

6° They correspond to the quantity, quality, and other characteristics, including in terms of durability, functionality, compatibility, and safety, that the consumer can reasonably expect for goods of the same type, considering the nature of the goods as well as public statements made by the seller, by any person upstream in the transaction chain, or by a person acting on their behalf, including in advertising or labeling.

II.-However, the seller is not bound by all public statements mentioned in the preceding paragraph if they prove:

1° That they did not know them and were not legitimately in a position to know them;

2° That, at the time of the contract's conclusion, the public statements had been corrected under comparable conditions to the initial statements; or

3° That the public statements could not have influenced the purchase decision.

III.-The consumer cannot contest the conformity by invoking a defect concerning one or more specific characteristics of the goods, of which they were specifically informed that they deviated from the conformity criteria set out in this Article, to which they expressly and separately consented at the time of the contract's conclusion. »

Article L217-7 of the Consumer Code: « Conformity defects that appear within twenty-four months from the delivery of the goods, including goods containing digital elements, are presumed to exist at the time of delivery, unless proven otherwise, unless this presumption is incompatible with the nature of the goods or the defect invoked.

For used goods, this period is set at twelve months.

When the contract for the sale of goods containing digital elements provides for the continuous supply of digital content or a digital service, conformity defects that appear are presumed to exist at the time of delivery:

1° For two years from the delivery of the goods, when the contract provides for this supply for a period of fewer than two years or when the contract does not specify the duration of the supply;

2° During the period during which the digital content or digital service is supplied under the contract, when it provides for this supply for a period of more than two years. »

Article L217-28 of the Consumer Code: « When the consumer requests the guarantor, during the course of the legal guarantee or the commercial guarantee granted to them upon the acquisition or repair of a good, for a repair covered by this guarantee, any period of immobilization suspends the guarantee period that remained until the delivery of the repaired good.

This period runs from the consumer's request for intervention or the provision for repair or replacement of the affected good, if this starting point is more favorable to the consumer.

The guarantee period is also suspended when the consumer and the guarantor enter into negotiations for an amicable settlement. »


The consumer has a period of two years from the delivery of the goods to obtain the implementation of the legal guarantee of conformity in case of the appearance of a conformity defect. During this period, the consumer is only required to establish the existence of the conformity defect and not the date of its appearance.

When the contract for the sale of the goods provides for the continuous supply of digital content or a digital service for a period of more than two years, the legal guarantee applies to this digital content or digital service throughout the planned supply period. During this period, the consumer is only required to establish the existence of the conformity defect affecting the digital content or digital service and not the date of its appearance.

The legal guarantee of conformity obliges the professional, if necessary, to provide all necessary updates to maintain the conformity of the goods.

The legal guarantee of conformity entitles the consumer to repair or replacement of the goods within thirty days following their request, at no cost and without major inconvenience to them.

If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.

If the consumer requests the repair of the goods, but the seller imposes the replacement, the legal guarantee of conformity is renewed for a period of two years from the replacement date of the goods.

The consumer can obtain a price reduction by keeping the goods or terminate the contract by being fully refunded against the return of the goods if:

1° The professional refuses to repair or replace the goods;

2° The repair or replacement of the goods occurs after thirty days;

3° The repair or replacement of the goods causes a major inconvenience for the consumer, especially when the consumer permanently bears the costs of return or removal of the non-conforming goods, or if they bear the costs of installation of the repaired or replaced goods;

4° The non-conformity of the goods persists despite the seller's attempt to bring them into conformity.

The consumer also has the right to a price reduction or contract termination if the conformity defect is so severe that it justifies immediate price reduction or contract termination. In this case, the consumer is not required to request the repair or replacement of the goods first.

The consumer is not entitled to terminate the sale if the conformity defect is minor.

Any immobilization period of the goods for their repair or replacement suspends the guarantee period that remained until the delivery of the repaired goods.

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the Consumer Code.

The seller who obstructs the implementation of the legal guarantee of conformity in bad faith incurs a civil fine of a maximum amount of 300,000 euros, which can be increased to 10% of the average annual turnover (Article L. 241-5 of the Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the Civil Code, for two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept or a full refund against the return of the goods.

Thus, under the legal guarantee of conformity, CITADIUM.COM commits at the Customer's choice:

- either to repair the Product;

- or to replace the Product with an identical product, depending on available stocks.

However, CITADIUM.COM may not proceed according to the Customer's choice if that choice is impossible or entails disproportionate costs concerning the other method, considering in particular the value of the Product, the importance of the conformity defect, or the possibility of opting for the other choice without major inconvenience to the Customer. CITADIUM.COM will then proceed to refund the Product.

To avail themselves of this warranty, the products must be returned or brought back to the store in the condition they were received with all elements (accessories, instructions, etc.), along with a copy of the purchase invoice. Products returned by mail must be in packaging allowing transportation in good conditions. In this case, the return shipping costs will be reimbursed based on the charged rate and upon presentation of supporting documents.


9.2 Warranty Against Hidden Defects

Article 1641 of the Civil Code: « The seller is bound by the warranty due to hidden defects in the sold item that render it unfit for the intended use, or that so diminish this use that the buyer would not have acquired it, or would have given a lesser price, had they known about them. ».

Article 1648 paragraph 1 of the Civil Code: « The action resulting from redhibitory defects must be brought by the buyer within two years from the discovery of the defect. ».


9.3 Spare Parts

The availability or unavailability of spare parts essential for the use of a purchased item and, if applicable, their availability period is determined by the item's manufacturer or its importer. When this information is not provided by the manufacturer or its importer, the spare parts essential for the use of the items are deemed unavailable.

CITADIUM.COM is committed to being as open and transparent as possible and providing the Customer with all necessary information on how their Personal Data (as defined in the Data Protection Policy) is collected, used, and protected during their visits to the Site.

ARTICLE 12 - FORCE MAJEURE

The execution by CITADIUM.COM of all or part of its obligations, particularly shipping, will be suspended in the event of the occurrence of a fortuitous event or force majeure that hinders or delays its execution.

Events considered as force majeure are those defined by the current texts, namely Article 1218 of the Civil Code, and by jurisprudence.

CITADIUM.COM will inform the Customers of the occurrence of a fortuitous event or force majeure within seven days of its occurrence. If this suspension continues beyond fifteen days, the Customer will have the possibility to cancel the current order, and the price of the ordered Products and paid delivery costs will be refunded.

ARTICLE 13 - MEDIATION

In accordance with the provisions of the Consumer Code concerning the amicable settlement of disputes, CITADIUM.COM adheres to the Consumer Mediation Service of FEVAD (Federation of e-commerce and distance selling), whose contact details are as follows: Consumer Mediation Service FEVAD - BP 20015 - 75362 PARIS CEDEX 8 - https://www.mediateurfevad.fr.

ARTICLE 14 - APPLICABLE LAW AND COMPETENT JURISDICTION

These Terms are subject to French law.

Failing an amicable settlement, disputes fall under the exclusive jurisdiction of the competent French courts, notwithstanding the plurality of defendants and/or third-party claims, even for emergency or protective procedures in summary proceedings or by petition.
